The Senior Corporate Paralegal will support all corporate areas with a focus on capital markets and provide higher level support and substantive work as well as assist with mentoring and training juniors paralegals.
· Assist on client matters requiring higher-level support
· Support full-life cycle of corporate transactions, including capital financings, mergers and acquisitions, and public offerings
· Assist with the formation, maintenance and dissolution of corporations, limited liability companies, limited partnerships, and other types of business entities
· Assist with drafting, preparation and filing of registration statements and other SEC filings
· Assist with EDGAR and UCC searches
· Assist with updating corporate governance documents, due diligence reviews and preparation of stock certificates
QUALIFICATIONS
· Thorough knowledge and expertise of the corporate transaction process
· Strong organizational skills and high level of attention to detail
· Ability to collaborate with and mentor junior paralegals
· Bachelor’s degree required
· At least 5 years prior paralegal working experience in-house or at a top law firm required
· Prior coordinating or mentorship experience preferred
